For the benefit of Upgrade Your Services employees, customers, vendors, and other website users (collectively, the “Users”), Upgrade Your Services operates and maintains this website (the “Site”). Users acknowledge and agree to the following terms and conditions (the “Terms”) by using the Site. Before using the Site, please carefully read the Terms. You and Upgrade Your Services will enter into a legally binding agreement once you accept the Terms. Do not use the Site if you do not accept the Terms.
Updates
Upgrade Your Services reserves the right to change the Terms at any time without prior notice. Please regularly check for changes. Your use of the Site following these changes indicates your acceptance of them.
Use Of Site
Upgrade Your Services gives you permission to only view and download content from the Site for your own personal, non-commercial use. For informational purposes only, materials may be downloaded or printed, provided that all copyright and other proprietary notices remain in the originals or copies. You are not allowed to change the content on the Site in any way, reproduce it for public display, perform it, distribute it, or use it in any other way for a commercial or public purpose. You are not allowed to use the Site or its content in a false, misleading, derogatory, or other offensive way, nor are you allowed to engage in or encourage behavior that would be in violation of any applicable law or regulation or could result in civil liability. Additionally, you agree that you are solely responsible for the use of any information obtained from the Site. The materials on the Site may not be used for any purpose on any other website or networked computer environment. In addition, you must get written permission from Upgrade Your Services before you can link to the Site. Any breach of these Terms automatically terminates your authorization to use the Site and the information on the Site.
Hyperlinks to Third Party Websites
The Site has links to other websites, some of which are managed by third parties, for your convenience. Upgrade Your Services is not accountable for the content of the websites it does not manage, has not reviewed or monitored them, and has no other control over them. You do so entirely at your own risk if you decide to visit any of these websites.
CUSTOMER’S OBLIGATIONS
The Customer agrees:
- to cooperate with Upgrade Your Services in all matters pertaining to the Services and not in any way hinder, prevent, or delay the Services’ delivery through actions or omissions
- to adhere completely and promptly at all times to this Agreement as well as any relevant Supplier terms and conditions pertaining to the Contract, including the obligation to promptly pay the Supplier in accordance with the Contract
- to provide any data, documents, or information that Upgrade Your Services may periodically request
- to make certain that all documents and information provided to Upgrade Your Services are current, complete, and accurate at all times
- to offer any assistance related to the Services that Upgrade Your Services may occasionally reasonably require
- to let Upgrade Your Services know right away if the customer’s circumstances change in a way that could affect the services provided or the contract or proposed contract
- in accordance with the Bribery Act of 2010 and any other applicable laws
- not, directly or indirectly, instruct, direct, permit, cause, or permit the Supplier to cease or withhold the payment of any commission for Upgrading Your Services at any time
- not to have entered into any other contract for the supply of energy (“Other Contract”) for the intended duration of the Contract, in which that Other Contract provides energy and/or the Services, in whole or in part, to be provided under the Contract for any reason, including a change in tenancy or occupancy.
Price Comparison
UK businesses can use Upgrade Your Services’ price comparison and switching service. You must be; in order to be eligible to use this service.
- A company with its headquarters in the UK;
- A minimum of 18 years old (if a sole proprietor);
- Meet any supplier’s credit scoring requirements (if applicable).
Failure to go live
Upgrade Your Services reserves the right to charge the customer a one-time fee of £750 per meter plus VAT in the event that a contract fails to go live (commence supply) as a result of the customer failing to provide us with the information or documentation that was requested by either us or the supplier, or as a result of a supplier or supplier refusing to accept supply. Signed letters of authority, information about the current supplier, meter numbers, contract start or end dates, termination notifications, information about the supplier ceasing to trade or onboarding contracts, and banking details, such as setting up direct debits or standing orders with a new supplier, are all examples of critical information that must be provided.
Failure of a supplier
Upgrade Your Services fees may not be paid by the failing supplier if you enter a supplier of last resort (SOLR) in the event that your current supplier fails. If our fees have not already been paid in full by more than 80%, we will charge a fee of £750 per meter plus VAT to cover any lost fees. If the customer instructs Utility Bidder to introduce another supplier to take over their SOLR contract, we may, at our discretion, agree to waive those fees.
